By-Laws of The Civil War Round Table of the Ozarks
Springfield, MissouriRevised April 2006ARTICLE I --- General Statement of Name and Objectives
The name of the organization shall be The Civil War Round Table of
the Ozarks. Its objectives shall be to promote
education and interest
in the American Civil War and all of its aspects, including the causes
leading up to the war and the Reconstruction period following the war.
The organization shall promote and support the preservation of
historical documents, relics, landmarks and land associated with the
War. It shall be an advocate for the historical preservation of Wilson’s
Creek National Battlefield. The Round Table shall encourage and
promote these principles, in cooperation with other organizations, in the
preservation of the American Civil War.
ARTICLE II --- Membership
Section 1: The membership shall be open to anyone with an interest
in
the Civil War. Persons under the age of 14 years who wish to apply for
membership, may do so as an associate member, with a current
member’s sponsorship. .
Section 2: Members who become three months in arrears on their
annual dues shall have their membership revoked.
ARTICLE III --- Organization
Section 1: The officers shall consist of;
Section 2: The duties of the officers and the procedures for
conducting the organization’s meetings and business shall follow
Roberts’ Rules of Order, along with the specifications provided with-
in these by-laws.
Section 3: The officers of the organization shall serve a term of one
year, commencing January 1, after elected by a majority vote of the
. membership in attendance at the annual meeting in December
Section 4: The legislative governing body of the organization shall
be the Board of Directors, comprised of; the elected officers of the
Round Table, the immediate past President, an at-large member,
elected by vote of a majority of the membership at the annual
meeting, and a representative of Wilson’s Creek National
Battlefield Park. The term of the members of the Board of Directors
shall be one year except the at-large member whose term shall be two
years, commencing on January 1. The elected officers may serve a
maximum of two consecutive full terms of the same office, without a
limit of non-consecutive terms. The Board, at its regular or special
meetings, as called by the President, or requested by any Board
member, shall formulate polices and take discretionary actions except
as otherwise prescribed in the by-laws. It shall be empowered to
transact any business of the Round Table that lies outside the
responsibilities of any individual officer or which requires action
that cannot wait for a duly assembled membership meeting. A
majority of the Board of Directors shall constitute a quorum in
order to transact any business. In the event that a member vacates the
Board of Directors, the Board shall name a successor to serve until
the next annual meeting.
ARTICLE IV --- Meetings
Section 1: Regular meetings shall be held monthly, except for July.
Meetings shall be the second Wednesday of each month, unless
changed by a majority vote of the membership.
Section 2: Special meetings or field trips may be arranged with the
approval of a majority of the Board of Directors.
Section 3: The annual meeting of the organization shall be held in
conjunction with the regular meeting in December of each year.
ARTICLE V --- Guests
Members of the Round Table are encouraged to bring interested
guests to the meetings.
ARTICLE VI--- Dues
Section 1: Dues shall be assessed yearly as determined by majority
vote of the membership at the annual meeting. Dues shall begin on
January 1 each calendar year and be payable to the Treasurer during
January. New members joining during the calendar year shall have
their dues pro rated.

Section 3: Life membership may be paid in lieu of yearly dues in the
amount of $200.00. Members with at least 25 years of previous paid
membership will be honored with a Life membership.
ARTICLE VII --- Committees
The Board of Directors may set up such other standing or special
committees as they regard essential to conducting the business
of the Round Table. Committee members shall serve a one-year
term unless reappointed. The Board of Directors will designate the
chairpersons and may require of them such reports as needed for
informing the Board of Directors and the membership of progress
and direction of the committee.
ARTICLE VIII --- Amendments
Amendments to these by-laws may be proposed by any member and
submitted to the membership by the President at any regular or
specially called meeting, subject to written notice of the proposal
being mailed to all members at least 14 days prior to the meeting at
which action is to be taken or notification at the prior monthly
meeting and published in the newsletter. Ratification shall be by a
two-thirds vote of the members present at the meeting.
